Terms of Service

IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING BRANIMI. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Introduction and Definitions

These Terms of Service ("Terms") govern your access to and use of Branimi, a cloud-based school management platform (the "Service") operated by Branimi ("we," "us," or "our").

In these Terms, the following definitions apply:

  • "Organization" means the school, academy, or educational institution that has entered into an agreement with Branimi to use the Service.
  • "Authorized User" means any individual who has been invited by the Organization to access the Service, including administrators, instructors, and other staff members.
  • "Student Data" means any information relating to students that is entered into, imported to, or generated by the Service, including but not limited to names, attendance records, clock-in/clock-out times, bookwork grades, and progress toward certification requirements.
  • "Organization Data" means all data entered into, imported to, or generated by the Service on behalf of the Organization, including Student Data, staff information, class schedules, and operational records.
  • "You" or "your" means the Authorized User accessing the Service and, where applicable, the Organization on whose behalf the Authorized User acts.

2. Account Registration and Access

2.1 Organization Accounts

Access to the Service is granted at the Organization level. An Organization administrator must invite Authorized Users before they can access the Service. Self-registration is not available; all user accounts are created through the invitation process.

2.2 Authorized User Responsibilities

As an Authorized User, you agree to:

  • Provide accurate information during account setup
  • Maintain the security of your login credentials and not share them with others
  • Notify your Organization administrator immediately if you suspect unauthorized access to your account
  • Use the Service only for the purposes authorized by your Organization and consistent with these Terms

2.3 Role-Based Access

The Service uses role-based access control. Your access to features and data is determined by the role assigned to you by your Organization administrator. You agree not to attempt to access features or data beyond your assigned role.

3. Permitted Use

The Service is intended for use by educational institutions to manage student attendance, track hours toward certification requirements, manage bookwork progress, and perform related school administration functions. You agree to use the Service only for these lawful, intended purposes.

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Service in any way that could damage, disable, or impair the Service
  • Use automated scripts, bots, or tools to access the Service except through approved integrations
  • Sublicense, resell, or redistribute access to the Service without our written consent

4. Student Data and Privacy

4.1 Data Processor Role

When processing Student Data, Branimi acts as a data processor on behalf of the Organization. The Organization remains the data controller and is responsible for ensuring it has appropriate legal authority (including parental or guardian consent where required) to share Student Data with Branimi.

4.2 Student Data Protections

We take the protection of Student Data seriously, particularly for minor students. We commit to the following:

  • Student Data will be used solely to provide the Service to the Organization
  • Student Data will not be sold, rented, or shared with third parties for marketing or advertising purposes
  • Student Data will not be used to build profiles for non-educational purposes
  • Student Data will be stored securely using industry-standard encryption and access controls
  • Access to Student Data within the Service is governed by role-based access control as configured by the Organization

4.3 Minor Students

The Organization acknowledges that some students may be minors (under 18 years of age). The Organization represents and warrants that it has obtained all necessary consents from parents or legal guardians of minor students before entering their data into the Service. Branimi relies on the Organization to fulfill this obligation.

4.4 Data Accuracy

The Service processes data imported from external systems (such as time-clock systems and learning management systems) and data entered directly by Authorized Users. While we strive to maintain data accuracy, the Organization is responsible for verifying the accuracy of all data within the Service. Branimi is not responsible for errors in source data or data entered by Authorized Users.

The Service is a management tool and does not replace the Organization's obligation to maintain independent records as required by applicable law or regulatory bodies.

4.5 Privacy Policy

Our collection, use, and protection of personal information is further described in our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully.

5. Data Ownership and Portability

5.1 Organization Owns Its Data

All Organization Data, including Student Data, remains the property of the Organization. Branimi does not claim ownership of any data you enter into or import to the Service.

5.2 License to Branimi

By using the Service, the Organization grants Branimi a limited, non-exclusive license to process Organization Data solely for the purpose of providing, maintaining, and improving the Service. This license terminates when the Organization's use of the Service ends, subject to our data retention obligations.

5.3 Data Export

The Organization may request export of its data at any time. We will provide Organization Data in a standard, machine-readable format within a reasonable timeframe.

5.4 Data Retention After Termination

Upon termination of the Organization's account, we will retain Organization Data for thirty (30) days to allow for data export. After this period, Organization Data will be permanently deleted from our systems, except where longer retention is required by law.

6. Service Availability and Support

6.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify Organizations in advance of planned downtime.

6.2 Modifications to the Service

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that affect the Organization's use of the Service.

6.3 Support

Support is available through our help center at docs.branimi.com and via email. Response times may vary.

7. Intellectual Property

The Service, including all software, design, text, graphics, and other content created by Branimi, is protected by copyright, trademark, and other intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property rights in the Service.

The Organization retains all rights to its trademarks, logos, and branding uploaded to the Service for customization purposes.

8. Limitation of Liability

8.1 Hour Tracking Disclaimer

The Service provides tools for tracking student attendance hours toward certification requirements. However, Branimi does not guarantee the accuracy of hour calculations and is not responsible for any discrepancies between hours recorded in the Service and hours recognized by state licensing boards or other regulatory bodies. The Organization is solely responsible for verifying all hour totals before submitting them to any regulatory authority.

8.2 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRANIMI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

8.3 Maximum Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

The Organization agrees to indemnify, defend, and hold harmless Branimi from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • The Organization's use of the Service in violation of these Terms
  • The Organization's failure to obtain required consents for Student Data, including parental consent for minor students
  • Any violation of applicable law by the Organization or its Authorized Users
  • Any third-party claim arising from Organization Data entered into the Service

10. Termination

10.1 By the Organization

The Organization may terminate its use of the Service at any time by contacting us. Upon termination, the data export and retention provisions of Section 5 will apply.

10.2 By Branimi

We may suspend or terminate access to the Service if:

  • The Organization or an Authorized User violates these Terms
  • The Organization's account is inactive for an extended period
  • We are required to do so by law
  • Continued provision of the Service is no longer commercially viable

11. Changes to These Terms

We may update these Terms from time to time. We will notify the Organization of material changes by email or through the Service at least thirty (30) days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Salt Lake City, Utah, in accordance with the rules of the American Arbitration Association. Either party may seek injunctive relief in a court of competent jurisdiction.

13. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Branimi regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Notices: Notices to Branimi should be sent to the contact information provided below. Notices to the Organization will be sent to the email address on file.
